About European Pizza Group MidCo
European Pizza Group MidCo S.à r.l. is the uppermost of the four Luxembourg holding companies below European Pizza Group TopCo S.à r.l., the top company of the frozen-pizza joint venture Nestlé and PAI Partners formed in 2023.[1] It was entered in the Luxembourg trade and companies register on 2 June 2023 as Pluto Lux MidCo Sàrl, took its present name on 8 September 2023 and is seated at 9, rue de Bitbourg in Luxembourg City, with a share capital of 12.6 million euro.[2] Its registered shareholders are TopCo, RCS Luxembourg B278209,[3] and Vesuvio Investments Sàrl, the Luxembourg company PAI holds its side of the venture through, and its one shareholding is European Pizza Group MezzCo S.à r.l., the next company down.[2]
The capital was raised in steps: 12,000 euro at incorporation, 7,412,000 euro published on 25 August 2023 and 12.6 million euro on 30 August 2023, when Société des Produits Nestlé S.A. was entered as a shareholder beside TopCo; PAI's Vesuvio Investments Sàrl, RCS Luxembourg B247112, took its place on 15 September 2023.[2] The Swiss commercial register set the chain out on 27 November 2023, when the 20,000 one-franc shares in European Pizza Group Holding Switzerland Sàrl of Vevey passed from Nestlé S.A. to TopCo and on down through MidCo, MezzCo and HoldCo to BidCo.[4] Its managers, as recorded on 2 September 2026, are Valentin Poncin, Gerrit Jan Schuurman and Daniel A. Sciberras.[2]
