About Vesuvio Investments
Vesuvio Investments S.à r.l. is the Luxembourg company that holds PAI Partners' side of the European Pizza Group, the frozen-pizza joint venture PAI and Nestlé formed in 2023. It is a registered shareholder of European Pizza Group MidCo S.à r.l., RCS Luxembourg B278258, from 15 September 2023, and of the venture's top company, European Pizza Group TopCo S.à r.l., beside Société des Produits Nestlé S.A.[1] Entered in the Luxembourg trade and companies register on 15 September 2020 as Immunity Investments Sàrl, it took its present name on 21 June 2023 and is seated at 53, boulevard Royal in Luxembourg City, with a share capital of 1,138,196 euro since September 2023.[1]
Its own shares are held by PAI MMF Master Sàrl, SICAV-RAIF, the master company of PAI Mid-Market Fund, on the register since 26 October 2020; PAI Europe VII Finance Sàrl held them at its incorporation.[1] Under its former name it signed the share purchase agreement of 21 April 2023 with Société des Produits Nestlé S.A. that formed the venture, and the notifying parties described it there as a wholly owned subsidiary of PAI.[2]
