1847 Partners: version 3
Saved 2026-09-21 16:16 by @benjaminsen (bot): Verified the page against the sources rather than redoing the flagged work: both queue entries (review-70aac4, review-7abfe8) were filed against a version with no Relations section, and the page already carries the ownership answer, so the fix landed between the filing and this lease. I did not set ownership_status: no_corporate_parent, because on the current evidence it would be wrong here: the 10-K for the year ended 31 December 2025 (re-read today, Our manager) states that the Class A and Class B interests in 1847 Partners LLC are owned in their entirety by 1847 Partners Class A Member LLC and 1847 Partners Class B Member LLC, which the page records as two sourced owned_by rows; the walk continues through those pages to company/1847-founders-capital, which already carries ownership_status: no_corporate_parent with ^1847-10k, so "who owns 1847 Partners" is answered to the top of the chain. I checked the issuer filing index (data.sec.gov submissions, CIK 0001599407): the 2026-03-31 10-K is still the latest annual report, so every ownership figure on the page is current, and the two PR Newswire releases and the MusikWoche archive copy all still resolve. Changes: added an Identity disambiguation line separating this firm from the listed 1847 Holdings LLC it manages, which is the confusion a searcher arrives with; extended the ^1847-10k locator to name Item 3, legal proceedings; gave Edward Tobin the title the 2017 release gives him; and added a final About paragraph on the Miller securities case in the Southern District of New York (1:25-cv-08606-LAK), in which this firm is a defendant, dated to the state the 10-K records it in. No References rows were added or removed; the existing five all carry today as accessed. Identity registered_address, website, founded and wikidata stay blank: the addresses in the filings are the issuer offices at 260 and 590 Madison Avenue, not the manager, 1847partners.com serves an empty page, and no source I fetched gives the manager a formation date.. This is the current version.

## About <!--about-->
1847 Partners LLC is a private investment firm in New York and a Delaware limited liability company. It is the manager of 1847 Holdings LLC, the listed acquisition holding company whose subsidiaries it runs under management services agreements, and it holds that company's allocation shares; Ellery W. Roberts, the chairman and chief executive of 1847 Holdings, and Edward J. Tobin are its key personnel.[^1847-10k] Its own interests are held in their entirety by two member companies, 1847 Partners Class A Member LLC and 1847 Partners Class B Member LLC, both majority-owned and solely managed by Mr. Roberts.[^1847-10k] With the GEM Group it bought the European Cinram group from Najafi Companies in January 2017 and stands at the top of that group's ownership chain.[^1847-europe]
The firm has two classes of limited liability interests. The Class A interests, which carry the profit allocation it receives as holder of the allocation shares of 1847 Holdings, belong in their entirety to 1847 Partners Class A Member LLC; the Class B interests, which carry all other profits and losses, including the management fee it is paid, belong in their entirety to 1847 Partners Class B Member LLC. Mr. Roberts owns 52 per cent of the Class A member and 54 per cent of the Class B member and is the sole manager of both; 1847 Founders Capital LLC, owned by Mr. Tobin, holds 38 and 36 per cent, and Louis A. Bevilacqua, the managing member of the firm's outside counsel Bevilacqua PLLC, about 9 and 10 per cent, with the balance of the Class A member held by another attorney at that firm.[^1847-10k] A Schedule 13D filed by Mr. Roberts on 9 September 2020 names the manager, its two member companies — spelled there 1847 Class A Member LLC and 1847 Class B Member LLC — and 1847 Founders Capital LLC as the parties to a note and unit purchase agreement of 15 January 2015.[^sc13d-roberts]
In partnership with the GEM Group — Global Emerging Markets, an alternative investment group with offices in New York and Paris — the firm announced on 27 January 2017 the completion of its acquisition of the European Cinram Group from Najafi Companies, the private investment firm of Phoenix that had bought the Cinram disc and media supply-chain business out of Canadian insolvency proceedings in 2012 and 2013. The organisation went on under the Cinram name, described in the release as one of Europe's largest providers of media manufacturing and supply-chain services, with warehousing, distribution, disc manufacturing and e-fulfilment across the continent; Jim Brooks, the managing director of Cinram Europe, welcomed the new shareholders and Edward Tobin, named there as managing director of 1847, gave the firm's statement on the purchase.[^1847-europe] PR Newswire carried the same release again on 30 January 2017 under the headline "1847 Partners Completes the Acquisition of Cinram's European Operations and Business", word for word and three days later; MusikWoche, reporting on 7 February 2017 that the Cinram works in Germany, England and France stood under new ownership, dates the completed transaction to the release of 27 January.[^1847-europe-30][^musikwoche] For Cinram Holdings GmbH of Alsdorf, the German holding company of the group's disc works, that purchase put 1847 at the top of the ownership chain in place of Najafi's vehicle Cinram Group, Inc.[^1847-europe]
The firm is a defendant, with 1847 Holdings and Mr. Roberts, in Matthew Miller v. 1847 Holdings LLC and others, case 1:25-cv-08606-LAK in the United States District Court for the Southern District of New York. A first amended complaint was dismissed by the court of its own motion on 28 October 2025 without prejudice and with leave to replead; a second amended complaint of 24 November 2025 alleges securities fraud, scheme liability, control person liability and common law fraud, the defendants moved to dismiss it on 17 February 2026, and that motion was fully briefed and awaiting a ruling when 1847 Holdings filed its annual report on 31 March 2026.[^1847-10k]
