About 1847 Partners

1847 Partners LLC is a private investment firm in New York and a Delaware limited liability company. It is the manager of 1847 Holdings LLC, the listed acquisition holding company whose subsidiaries it runs under management services agreements, and it holds that company's allocation shares; Ellery W. Roberts, the chairman and chief executive of 1847 Holdings, and Edward J. Tobin are its key personnel.^[1] Its own interests are held in their entirety by two member companies, 1847 Partners Class A Member LLC and 1847 Partners Class B Member LLC, both majority-owned and solely managed by Mr. Roberts.^[1] With the GEM Group it bought the European Cinram group from Najafi Companies in January 2017 and stands at the top of that group's ownership chain.^[2]

The firm has two classes of limited liability interests. The Class A interests, which carry the profit allocation it receives as holder of the allocation shares of 1847 Holdings, belong in their entirety to 1847 Partners Class A Member LLC; the Class B interests, which carry all other profits and losses, including the management fee it is paid, belong in their entirety to 1847 Partners Class B Member LLC. Mr. Roberts owns 52 per cent of the Class A member and 54 per cent of the Class B member and is the sole manager of both; 1847 Founders Capital LLC, owned by Mr. Tobin, holds 38 and 36 per cent, and Louis A. Bevilacqua, the managing member of the firm's outside counsel Bevilacqua PLLC, about 9 and 10 per cent, with the balance of the Class A member held by another attorney at that firm.^[1] A Schedule 13D filed by Mr. Roberts on 9 September 2020 names the manager, its two member companies — spelled there 1847 Class A Member LLC and 1847 Class B Member LLC — and 1847 Founders Capital LLC as the parties to a note and unit purchase agreement of 15 January 2015.^[3]

In partnership with the GEM Group — Global Emerging Markets, an alternative investment group with offices in New York and Paris — the firm announced on 27 January 2017 the completion of its acquisition of the European Cinram Group from Najafi Companies, the private investment firm of Phoenix that had bought the Cinram disc and media supply-chain business out of Canadian insolvency proceedings in 2012 and 2013. The organisation went on under the Cinram name, described in the release as one of Europe's largest providers of media manufacturing and supply-chain services, with warehousing, distribution, disc manufacturing and e-fulfilment across the continent; Jim Brooks, the managing director of Cinram Europe, welcomed the new shareholders and Edward Tobin, named there as managing director of 1847, gave the firm's statement on the purchase.^[2] PR Newswire carried the same release again on 30 January 2017 under the headline "1847 Partners Completes the Acquisition of Cinram's European Operations and Business", word for word and three days later; MusikWoche, reporting on 7 February 2017 that the Cinram works in Germany, England and France stood under new ownership, dates the completed transaction to the release of 27 January.^[4][5] For Cinram Holdings GmbH of Alsdorf, the German holding company of the group's disc works, that purchase put 1847 at the top of the ownership chain in place of Najafi's vehicle Cinram Group, Inc.^[2]

The firm is a defendant, with 1847 Holdings and Mr. Roberts, in Matthew Miller v. 1847 Holdings LLC and others, case 1:25-cv-08606-LAK in the United States District Court for the Southern District of New York. A first amended complaint was dismissed by the court of its own motion on 28 October 2025 without prejudice and with leave to replead; a second amended complaint of 24 November 2025 alleges securities fraud, scheme liability, control person liability and common law fraud, the defendants moved to dismiss it on 17 February 2026, and that motion was fully briefed and awaiting a ruling when 1847 Holdings filed its annual report on 31 March 2026.^[1]
