Altria Group, Inc. is the American tobacco holding company whose family of companies is Philip Morris USA, U.S. Smokeless Tobacco Company, John Middleton, Helix Innovations and NJOY.^[1] It is incorporated in Virginia, has its headquarters at 6601 West Broad Street in Richmond and trades on the New York Stock Exchange under the ticker MO.^[2] No company stands above it: its LEI record reports neither a direct nor an ultimate accounting consolidation parent, both exceptions giving the reason NO_KNOWN_PERSON,^[3][4] and it files its own annual report on Form 10-K, most recently for 2025 on 25 February 2026.^[2]

The legal entity dates from 1 March 1985 and carried the name Philip Morris Companies Inc. until a change of legal name effective on 27 January 2003; the SEC's record dates the filer's change of name to 2 January 2003.^[5][2] According to Altria the new name was adopted because the portfolio had grown beyond Philip Morris USA and Philip Morris International, and it then held an 84 % stake in Kraft Foods; Kraft was spun off in 2007 and Philip Morris International in 2008, and the company left the Dow Jones Industrial Average in 2008 after those spin-offs.^[6] Its registered address in Virginia is that of its registered agent, United Agent Group Inc., in Suffolk, while Richmond is the business and mailing address on its SEC record.^[5][2] It is registered in Virginia as entity 02675999, its LEI is XSGZFLO9YTNO9VCQV219 and its federal employer number is 13-3260245.^[5][2] Exhibit 21 to the 2025 Form 10-K names NJOY, LLC of Delaware and Philip Morris USA Inc., U.S. Smokeless Tobacco Company LLC and UST LLC, all of Virginia, as subsidiaries as of 31 December 2025.^[7] Philip Morris USA owns and makes Marlboro in the United States; Philip Morris International, separate from Altria since the 2008 spin-off, owns the brand in most territories outside it.^[8]
