New References rows: sec-ex21 (10-K exhibit 21.1), sec-10k (EDCI's 2009 Form 10-K) and sec-10q-2010 (EDCI's Q2 2010 Form 10-Q). Entertainment Distribution Company (USA), LLC is the Delaware company through which Glenayre Technologies, Inc. bought Universal Music Group's United States compact-disc manufacturing and distribution business on 31 May 2005.[^sec-apa][^sec-8k-jun] Under an asset purchase agreement dated 9 May 2005 it took the assets of UMG Manufacturing & Logistics, Inc. and of Universal Music & Video Distribution, Corp. that served that business, among them the plant at Grover, North Carolina, which it owned outright, and the distribution centres at Fishers, Indiana, Reno, Nevada and Wilkes-Barre, Pennsylvania, which it leased; $28.4 million of the $79.4 million paid at closing was for the US operations.[^sec-apa][^sec-8k-jun] It was a wholly owned subsidiary of Entertainment Distribution Company, LLC, the company that held the group's disc plants in the United States, Germany and England.[^sec-10k]
