Alfa Group Consortium is a privately owned Russian investment group with interests in banking, insurance, retail, telecommunications, water utilities and other investments; Mikhail Fridman founded it in 1989 as Alfa-Eco with Anatoly Potik, and German Khan, Alexei Kuzmichov and other partners joined later.[^wikipedia] Its ultimate holding company is CTF Holdings Ltd, based in Gibraltar, which also serves as the group's corporate centre.[^alfagroup-corporate][^wikipedia] Its Cyprus entity Erasmony Limited is the largest shareholder of Rissa Investments Limited, the parent of the Borjomi mineral water group.[^interfax-en]
The group's website described it as a set of subholdings in which three beneficial shareholders, Mikhail Fridman, German Khan and Alexey Kuzmichov, hold controlling stakes of between 47% and 100%, consolidated through CTF Holdings, which they created for that purpose; ABH Holdings S.A., the banking subholding, was spun out of CTF to take part in Russia's deposit insurance scheme and is held by the three directly, and minority partners hold stakes in the subholdings under shareholder agreements with CTF.[^alfagroup-holdings][^alfagroup-shareholders] In June 2022, after Western sanctions on Fridman, Erasmony transferred 7.73% of Rissa to the government of Georgia and Alfa Group gave up its controlling interest.[^interfax-en] In November 2023 Ukrainian presidential decree No. 739 placed Alfa Finance Holdings, Erasmony, Rissa Investments and CTF Holdings S.A. under Ukrainian sanctions, companies Interfax-Ukraine associates with Fridman and the other co-owners of Alfa Group.[^interfax-ua]
