Springer Science+Business Media Galileo Participation S.à r.l., SSBMG in Springer Nature's filings, is a holding company at 18 rue Erasme in Luxembourg, entered in the Luxembourg trade and companies register under B256711 on 1 July 2021.^[1][2] It is one of the two majority shareholders of Springer Nature AG & Co. KGaA: it holds its shares under a voting rights pooling agreement with GvH Vermögensverwaltungsgesellschaft XXXIII mbH of Stuttgart, nominates two members of Springer Nature's supervisory board and its deputy chair, and holds part of the shares in the general partner, Springer Nature Management Aktiengesellschaft.^[3][4] Its own shareholder is Springer Science+Business Media GP Acquisition SCA, at the same Luxembourg address.^[1]

Springer Nature's corporate governance statement describes SSBMG as a majority-owned and controlled indirect subsidiary of funds advised by BC Partners LLP, the general partner of which is owned and controlled by BC Partners Holdings Limited.^[4] The Luxembourg register names Springer Science+Business Media GP S.à r.l. as the shareholder at the company's registration on 1 July 2021, with a capital of €12,000, and Springer Science+Business Media GP Acquisition SCA in its place from the filing of 2 August 2021, the capital rising to €740,027 that month.^[1]

The voting-rights notification Springer Nature published for BC Partners Holdings Limited on 9 October 2024, when its shares were first admitted to trading, sets out the chain of controlled undertakings in order: BC Partners Holdings Limited, BC Partners Group Holdings Limited, CIE Management IX Limited, BC Partners Galileo Holding L.P., Springer Science+Business Media GP S.à r.l., Springer Science+Business Media GP Acquisition SCA and then SSBMG, with BC Partners Galileo (1) L.P. named as a further member of the chain.^[5] The notification attributes 172,238,194 voting rights, 86.60 per cent of the total, to SSBMG, a figure that includes the 100,700,053 voting rights of GvH Vermögensverwaltungsgesellschaft XXXIII counted with it under the pooling agreement.^[5] The voting rights notifications summarised in the 2025 group management report name the same Luxembourg and Guernsey entities among the indirect holders above it.^[3]
