Marks and Spencer Group plc is the holding company at the top of the M&S retail group, a public limited company incorporated in England on 23 July 2001 and registered at Companies House under number 04256886, with its registered office at Waterside House in Paddington, London.^[1] Companies House records it as the sole person with significant control of the operating company Marks and Spencer p.l.c., holding 75 per cent or more of that company's shares and voting rights with the right to appoint or remove its directors, a holding notified on 6 April 2016.^[2] The group is listed on the London Stock Exchange and is a constituent of the FTSE 100 index.^[3]

No company controls it. The 2026 annual report lists the notifiable interests disclosed to it under the FCA's Disclosure Guidance and Transparency Rules as at 28 March 2026: BlackRock, Inc. at 6.22 per cent, Ameriprise Financial at 4.978, RWC Asset Management at 4.937, Schroders plc at 4.760 and Norges Bank at 3.250 per cent of the capital.^[4] Its Legal Entity Identifier record states no known direct or ultimate accounting consolidation parent.^[5] The company was registered as Trushelfco (No.2827) Limited, renamed Conker Retail Limited in August 2001 and took its present name in January 2002.^[1]
