JDS Capital, L.P. is a Delaware limited partnership with its business address at 780 Third Avenue in New York, filing with the Securities and Exchange Commission under CIK 0001264533, where its reports of holdings in listed companies are filed on Schedules 13D and 13G.[1] Its general partner is JDS Capital Management, LLC, whose managing member is Joseph D. Samberg.[2][3] It holds a majority membership interest in Dimensional Associates, LLC and is that company's manager, which puts it behind Dimensional's ownership of the independent-music distributor The Orchard from 2003 until Sony Music took majority control in 2012.[4][5]
The partnership's 2004 Schedule 13D describes it as principally engaged in investing in securities, and describes JDS Capital Management as a Delaware limited liability company principally engaged in serving as its general partner.[2] When Dimensional took The Orchard Enterprises private in 2010, the joint Form 4 reported the shares as owned directly by Dimensional and deemed beneficially owned by JDS Capital as Dimensional's managing member, by JDS Capital Management as JDS Capital's general partner, and by Samberg as managing member of JDS Capital Management.[3] The 2010 proxy filing gives 1091 Boston Post Road in Rye, New York as the principal business address of all of them, together with Dimensional Associates.[4]
