About Dimensional Associates

Dimensional Associates, LLC is a New York investment firm with its office at 1091 Boston Post Road in Rye, New York; it has filed with the Securities and Exchange Commission under CIK 0001418220 since 2007, reporting its holdings on Schedule 13D.^[1] It bought the independent-music distributor The Orchard in 2003.^[2] When The Orchard was merged in November 2007 into the Nasdaq-listed Digital Music Group, Inc., which then took the name The Orchard Enterprises, Inc., Dimensional became that company's controlling stockholder, holding 4,199,002 shares, about 53.4 per cent of the common stock outstanding and roughly 54 per cent of the voting stock on a fully diluted basis at 19 April 2010; it also controlled the download store eMusic, which distributed The Orchard's recordings under a wholesale agreement.^[3] Dimensional made The Orchard Enterprises private again in a merger effective 29 July 2010, after which it directly held all the shares in issue but the 29,051 owned by its director Daniel C. Stein.^[4] Sony Music bought 51 per cent of The Orchard in 2012 and the remaining equity in 2015.^[2][5]

JDS Capital, L.P. holds a majority membership interest in Dimensional Associates and is its manager, JDS Capital Management, LLC is the general partner of JDS Capital, L.P., and Joseph D. Samberg, the managing member of JDS Capital Management, holds a direct minority interest in Dimensional Associates; the four give the same principal business address in Rye.^[3]
