AI Entertainment Holdings LLC is the Delaware holding company through which Access Industries owns Warner Music Group. Under the name Airplanes Music LLC it was the Parent that agreed on 6 May 2011 to acquire Warner Music Group Corp.; the merger closed on 20 July 2011, when Airplanes Merger Sub, Inc. merged into the company and Warner Music Group left the New York Stock Exchange as its wholly owned subsidiary.^[1] It files with the Securities and Exchange Commission as a ten per cent owner of Warner Music Group from c/o Access Industries at 40 West 57th Street in New York, and on 16 April 2026 held 247,600,227 shares of Class B common stock directly.^[2][3] Its parent is Access Industries Core Holdings LLC, and Access Industries Management, LLC stands at the top of the group above it.^[3]

On 6 March 2023 it contributed 125,000,000 of those Class B shares, for no consideration, to its wholly owned subsidiary Entertainment Holdings II LLC, which still held them in April 2026.^[4][3] Above it the chain runs to Access Industries Core Holdings LLC, the registrant that EDGAR carried as AIPH Holdings LLC from December 2012 until 23 December 2024,^[5] then to Access Industries Holdings LLC, which controls a majority of that company's voting interests, then to Access Industries, LLC, which controls a majority of the voting interests in Access Industries Holdings, and finally to Access Industries Management, LLC, which controls both of them and is the last company in the chain, with Len Blavatnik as its controlling person.^[3] Warner Music Group returned to the market on 5 June 2020 with a Nasdaq listing of Class A stock, an offering made up entirely of secondary shares sold by Access; Access and its affiliates hold all of the Class B common stock, about 98 per cent of the combined voting power and 72 per cent of the economic interest, which makes Warner Music Group a controlled company under Nasdaq's rules.^[1]
