1362806 Ontario Limited is a numbered Ontario company of the Cinram group of Toronto, the Canadian maker of pre-recorded discs and tapes. It held shares in Cooperatie Cinram Netherlands UA, the Dutch co-operative through which the group held its European companies, and the Monitor of the group's 2012 proceedings under the Companies' Creditors Arrangement Act names it, together with Cinram International Inc., as the Share Sellers of all the issued and outstanding shares in that co-operative under the binding purchase offer of 22 June 2012 from Cinram Acquisition, Inc.^[1] The Monitor's corporate structure chart of 23 June 2012 places it among the entities below Cinram International Inc. and names Cinram International Income Fund the ultimate parent of the group.^[2]

The sale of the co-operative was the group's European transaction. The Ontario Superior Court of Justice approved it on 12 July 2012, the purchaser was Cinram Group, Inc., formerly Cinram Acquisition, Inc., a vehicle of the Phoenix investment firm Najafi Companies, the final transfer of funds was completed on 4 February 2013 and the Monitor delivered its share sale transaction certificate on 5 February 2013.^[3] This company kept its numbered name while the Cinram-named applicants were renamed: Schedule "A" to the motion record of the Applicants returnable 31 July 2015 lists it among the additional Applicants beside C International General Partner Inc., CRW International ULC, CUSH Inc., CIHV Inc., CMFG LLC, CDIST LLC and CRSMI LLC, and that record restates the share purchase offer as given by Cinram Group, Inc. to C International Inc. and to this company.^[4]
