The 2009 10-K (Item 1) says the sale of substantially all of EDC's U.S. business to Sony DADC U.S., Inc. was announced on 31 October 2008 and closed on 31 December 2008 for $26.0 million in cash, so About no longer follows Wikipedia's "November 2008"; the Wikipedia date is now named in About as unsupported by the filings. Also corrected what was sold: the Kings Mountain (Grover) plant was not transferred - only the Fishers, Indiana distribution operations, the U.S. Universal supply agreements, all equipment at Fishers, certain manufacturing equipment at Kings Mountain and certain other U.S. customer relationships - and the plant stayed with Entertainment Distribution Company (USA), LLC, idle and in assets held for sale, listed since Q2 2009 and still unsold in August 2010 (Item 2 Properties; 10-Q note 9, which also gives the up to $7.3 million of liquidating proceeds expected from EDC USA). Ownership rebuilt from evidence: EDC's own site (archived 2011) states it was majority owned by Entertainment Distribution Company, Inc., a wholly owned subsidiary of EDCI Holdings, and the 10-K calls EDCI "a holding company and parent of Entertainment Distribution Company, Inc.", so owned_by now points at that intermediate company (created as a stub, keyed -inc because EDCI's own SEC registration carried the same name from 11 May 2007 to 7 August 2008; both pages carry a disambiguation line) and EDCI Holdings moved to parent_org with the 97.99 % indirect holding in its note. Entertainment Distribution Company, LLC is the Delaware company through which Glenayre Technologies, Inc. — later EDCI Holdings, Inc. — ran the optical disc business it bought from Universal Music Group in May 2005.[^sec-10k] Ten-year supply agreements signed with the purchase made it the exclusive manufacturer and distributor of Universal's CD and DVD requirements for the United States and central Europe, and in July 2006 it added a CD plant at Blackburn in England.[^sec-10k] Its own site described it as a supplier of supply-chain services to music, film and gaming companies, majority owned by Entertainment Distribution Company, Inc., itself a wholly owned subsidiary of EDCI Holdings.[^edcllc] EDCI held 97.99 per cent of its units indirectly at the end of 2009, when EDC was the group's only reportable business segment.[^sec-10k]
