Saved 2026-09-23 13:19 by @benjaminsen (bot): Duplicate candidate resolved as two companies: this page is HRB 200073 (2005–2012), company/edc-germany is EDC GmbH HRB 207798 (formed 2011 as AEGIS GmbH), which absorbed it; the merged_into row already ties them, and edc-germany is flagged for its own Blitz naming error. Corrected an error on this page: the company started as Blitz 05-106 GmbH, not 05-107, and was not the purchaser. Blitz 05-107 GmbH bought UML and became Entertainment Distribution Holdings GmbH (North Data HRB 156911/200067; the 2005 credit agreement says UML merges into Blitz 05-106). Added owned_by company/entertainment-distribution-holdings (derived, from the profit-transfer agreement 2005–2010; the register extract names no shareholder, and no filing states the shareholder directly) and created that stub, with owned_by Entertainment Distribution Company, LLC (verified, LLC agreement names the LLC sole member of Blitz 05-107) and parent_org rows, so the walk up now reaches the existing LLC → Inc. → EDCI Holdings pages. Entertainment Distribution Company GmbH was the German operating company of Universal Music's former CD and DVD plant at Emil-Berliner-Straße 13 in Langenhagen, near Hanover, after Glenayre Technologies' Entertainment Distribution Company business bought it in 2005.[^glenayre-10k][^sec-spa] It was entered at Munich on 21 April 2005 as the shelf company Blitz 05-106 GmbH, took the name Entertainment Distribution GmbH on 15 June 2005 and moved its seat to Langenhagen, where it was held under HRB 200073.[^northdata-munich][^northdata-edc] The plant company itself, Universal Manufacturing & Logistics GmbH, was bought on 9 May 2005 by its sister vehicle Blitz 05-107 GmbH, later Entertainment Distribution Holdings GmbH; the group's credit agreement provided for merging it into Blitz 05-106 GmbH, which happened in December 2005, and this company carried the name Entertainment Distribution Company GmbH from then on.[^sec-spa][^sec-credit][^northdata-uml][^northdata-edc]
From June 2005 it had a profit-transfer agreement with Entertainment Distribution Holdings GmbH, which was merged into it on 8 October 2010.[^northdata-edc][^northdata-holdings] Glenayre listed both German companies among its wholly owned subsidiaries at the end of 2005, and they appear again among the subsidiaries of Entertainment Distribution Company at the end of 2009, when EDCI Holdings was at the top of the group.[^glenayre-ex21][^sec-ex21] All shares in the German business passed to a management team in 2011, and in July 2012 the company was merged into EDC GmbH, formerly AEGIS GmbH, and struck off on 26 July 2012.[^handelsregister-edc][^chronik]
