The Form S-4 of 4 June 2008 says EDCI Holdings was a **newly formed** wholly owned subsidiary of Entertainment Distribution Company, Inc. with no operating history, and the 8-K of 26 August 2008 reports the reorganisation consummated on 25 August 2008, so "Entertainment Distribution Company, Inc." and "Glenayre Technologies, Inc." were never legal names of this corporation: they are registration names on CIK 808918 carried by the predecessor registrant. Both aliases changed from type legal to search, each dated to the EDGAR period (Glenayre 1994-06-09 to 2007-05-10, EDC Inc 2007-05-11 to 2008-08-07), with a paragraph in About explaining that they are registration names and pointing at company/entertainment-distribution-company-inc; the Identity disambiguation now names that page too, and the wrong "formerly Glenayre Technologies" claim is gone from summary and disambiguation. EDCI Holdings, Inc. was an American holding company in New York whose one business was the optical disc maker Entertainment Distribution Company, LLC, of which it held 97.99 % of the units indirectly through subsidiaries; EDC had been formed in May 2005 out of the United States and central European CD and DVD manufacturing and distribution operations of Universal Music Group.[^sec-10k] The company itself was newly formed in Delaware in 2008 for the single purpose of a holding-company reorganisation, with no operating history and nominal assets of its own.[^sec-s4] Under the Agreement and Plan of Reorganization of 3 June 2008, consummated on 25 August 2008, Entertainment Distribution Company, Inc. became its wholly owned subsidiary and every ten shares of that company were exchanged for one share of EDCI Holdings.[^sec-8k-reorg] No company stood above it: its common stock was listed on the NASDAQ Capital Market under the symbol EDCI until it withdrew the listing itself in November 2010.[^sec-8k-reorg][^sec-25] The Securities and Exchange Commission holds it under CIK 0000808918 with employer identification number 26-2694280.[^sec-sub]
