DGMS Blackburn Holdings Limited was the English company that held the Blackburn CD and DVD plant before Entertainment Distribution Company bought it, and it is the seller named in the 2006 deed for the entire issued share capital of Deluxe Global Media Services Blackburn Limited, the company now on this site as EDC Blackburn.[^sec-spa] Companies House registers it under number 04459460, incorporated on 12 June 2002 as DISCTRONICS EUROPE 2 LIMITED, renamed DISCTRONICS EUROPE LIMITED. six days later and DGMS Blackburn Holdings Limited on 15 March 2004, with a registered office at Tor, Saint-Cloud Way, Maidenhead.[^ch-dgms] Its own shareholder was Rank Nemo (DGMS) Limited, the former Deluxe Global Media Services Limited, under The Rank Group Plc at the top of the group.[^ch-dgms-psc][^rank-ar17] After the sale it filed as a dormant company (SIC 99999), made up its last accounts to 30 June 2016 and was dissolved on 17 April 2018.[^ch-dgms]
The plant passed to Entertainment Distribution Company on 21 July 2006, when EDC UK Holdings Limited bought the share capital from this company; the deed is made between DGMS Blackburn Holdings Limited as seller, EDC UK Holdings Limited, Entertainment Distribution Company, LLC, Glenayre Electronics, Inc. as guarantor and Rank Leisure Holdings Limited, company number 1841255, for the Rank side, and it records the plant's insurance as part of The Rank Group Plc's insurance programme.[^sec-spa] EDC's 10-Q for the quarter ended 30 June 2006 describes the company it bought as a subsidiary of The Rank Group Plc, the Maidenhead group whose Deluxe Global Media Services business ran the plant, and puts the price at about $6.0 million.[^sec-10q] Rank's own accounts for 2006 give the seller's side of the same exit: Deluxe Media Services sold its UK DVD replication and distribution businesses in June 2006 for net consideration of about £6m and its UK CD replication business in July 2006, the month this sale completed, for about £3m, and the group left Deluxe Media entirely that year.[^rank-ar06] The two figures are each side's own, Rank's stated net.
