CII Trust is one of the entities party to the arrangement agreement of 28 March 2006 under which Cinram International Inc. was converted into Cinram International Income Fund, effective 5 May 2006.[^cinram-nccs] The Monitor's 2012 corporate structure chart places it directly beneath the Fund and directly above Cinram International Limited Partnership, which in turn holds Cinram International ULC and Cinram International Inc.[^fti-prefiling] It was an applicant, with the Fund and the company, in the proceedings begun under the Companies' Creditors Arrangement Act on 25 June 2012, and it is one of the entities the Monitor groups as the Fund Entities, which unlike the operating companies were neither borrowers nor guarantors under the group's credit agreements.[^fti-cinram][^fti-prefiling]
