About Imperial Tobacco Holdings International
Imperial Tobacco Holdings International B.V. is a Dutch private limited company of the Imperial Brands group, registered with the Kamer van Koophandel under number 74708058 with its statutory seat in Amsterdam; its articles are dated 30 April 2019.[1] Imperial Brands' 2023 annual report lists it among the group's wholly owned overseas subsidiaries as a provider of finance to other group companies, at Slachtedijk 28a in Joure.[2][3] It is the shareholder of Reemtsma Cigarettenfabriken GmbH, the group's German cigarette manufacturer, through its German branch, and holds Reemtsma under a profit and loss transfer agreement; Reemtsma's accounts name Imperial Brands PLC of Bristol as the ultimate parent that consolidates both companies.[4]
The company was formed on 30 April 2019 by a demerger (afsplitsing) from the older Imperial Tobacco Holdings International B.V., KvK 34146737, which had filed the demerger proposal on 24 January 2019 and on the day of the demerger took the name Imperial Brands Holdings International B.V.[5] Imperial Brands PLC holds the shares of only one subsidiary directly, Imperial Tobacco Holdings (2007) Limited, so this company is owned through intermediate group companies.[2] The German branch, Imperial Tobacco Holdings International B.V. Niederlassung Deutschland, was entered in the Hamburg commercial register as HRB 157272 on 23 May 2019 and sits at Friesenweg 18, Reemtsma's head office.[6][1] Its objects cover holding and financing interests in other companies, trade in tobacco products and the management of patents and trademarks.[1]
